Gipson Hoffman & Pancione Advises Wood Smith Henning & Berman on Formation of MSO and Strategic Growth Investment from Charlesbank Capital

Tue October 27, 2026 News

Gipson Hoffman & Pancione served as lead counsel to Wood Smith Henning & Berman, a national law firm with more than 550 lawyers across 23 states, in connection with the formation of WSHB Support Services, a management services organization (MSO), established to provide non-legal operational and administrative support to WSHB. Private equity firm Charlesbank Capital Partners invested in the newly formed MSO.

The transaction represents a significant development in the legal industry, reflecting growing private equity interest in the sector and the use of the MSO structure to facilitate outside investment while maintaining law firm independence.

The GHP business transactions team was led by Lawrence R. Barnett and included Stacey Klein, Brian Heitzer, Mark Tizabgar, Josephine Wu, Hanna Sherman, and G. Raymond F. Gross.
