Entertainment & Finance Representative Matters

  • Represented banks and finance companies as well as motion picture and television producers in negotiations involving single picture or project financing of motion pictures and television programming collateralized by presales and/or tax credits.
  • Represented producers in all aspects of motion picture development and production, including negotiating and drafting options and other rights acquisition agreements, writers’ agreements, actors’ agreements, directors’ agreements, individual producers’ agreements, and location agreements.
  • Represented major independent motion picture and television producers in negotiating and documenting syndicated credit facilities agented by major banks for loan amounts up to $500,000,000.
  • Represented producers in connection with the distribution and exploitation of films and television programs, including negotiating distribution agreements with major film distributors, negotiating television license agreements with domestic and international television broadcasters, and negotiating and drafting distribution agreements with independent international distributors.
  • Served as primary outside counsel for a major television network, which included negotiating and drafting rights acquisition agreements and negotiating and drafting affiliation agreements with individual television stations and station groups.
  • Represented major entertainment finance lenders in international and domestic distribution disputes. 
  • Represented a national television station group in connection with rights acquisition agreements, monitoring productions for rights clearance purposes, and licensing programming for syndication.
  • Represented a major comic book company in the sale of a majority interest to Chinese investors. 
  • Represented a private equity firm providing financing for the acquisition of entertainment assets. 
  • Represented motion picture production companies in disputes with entertainment guilds such as the Screen Actors Guild, the Directors Guild of America, and the Writers Guild of America.
  • Represented creditors in the bankruptcies of major entertainment companies. 
  • Represented purchasers and sellers in the purchase and sale of film libraries, motion pictures, and other entertainment assets, including review of the chain of title and copyright searches.
  • Claimed rights, and in other cases fought back, regarding exercise of the termination of copyright transfers allowed under the Copyright Act after thirty-five years.
  • Negotiated rights in life stories for book and movie deals.
  • Drafted and negotiated publication agreements for authors, publishers, and film producers.
  • Represented performers appearing in reality television programs.
